These Terms of Service constitute a legally binding agreement between you and Rx Contract IQ governing your access to and use of the platform. By creating an account or accessing the Services, you agree to be bound by these Terms.
Rx Contract IQ provides a cloud-based analytics platform for healthcare benefits brokers to evaluate, score, and compare PBM proposals and RFP responses, including scoring, risk analysis, savings modeling, and white-label reporting tools. We reserve the right to modify or discontinue services with reasonable notice.
You must provide accurate information at registration and keep credentials confidential. Accounts may only be used by the assigned individual. Notify us immediately of unauthorized use. We may suspend accounts that violate these Terms.
You agree not to reverse engineer the platform, attempt unauthorized access, upload malicious code, resell access without written consent, use automated scraping tools, or impersonate any person or entity.
All software, algorithms, scoring models, and content provided by Rx Contract IQ remain our exclusive property. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term for internal business purposes only.
You retain ownership of all data you upload. You grant us a limited license to process your data solely for delivering the Services. We will not use Customer Data for other purposes or disclose it to third parties except as required by law or permitted under our Privacy Policy.
Fees are billed in advance monthly or annually. All fees are in USD and non-refundable except as stated herein. We may update pricing with 30 days' notice. Overdue balances accrue interest at 1.5% per month. You are responsible for all applicable taxes.
Each party agrees to maintain the confidentiality of the other's non-public information and to use it only as necessary to perform obligations under these Terms. This obligation does not apply to publicly known information, independently developed information, or disclosures required by law.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Analysis outputs are informational only and do not constitute legal, financial, or actuarial advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RX CONTRACT IQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF FEES PAID IN THE PRECEDING TWELVE MONTHS OR $100.
You agree to indemnify and hold harmless Rx Contract IQ from claims arising out of your use of the Services, your violation of these Terms, your violation of third-party rights, or your Customer Data.
Either party may terminate at the end of the current billing period. We may suspend access immediately for material breach. Upon termination, you may export data within 30 days before it is deleted per our retention policy.
These Terms are governed by the laws of Delaware. Disputes will be resolved through binding arbitration under AAA rules. You waive the right to participate in class actions.
We may update these Terms at any time with notice by email or platform notification. Continued use after the effective date constitutes acceptance.
